Terms of Service

These Terms of Service ("Terms") form a legal agreement between you and PersonyFi ("PersonyFi," "we," "us," or "our") governing your access to and use of the PersonyFi website, applications, and services (together, the "Service").

By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least the age of majority in your jurisdiction and able to enter into a binding contract. By using the Service you represent that you meet these requirements and that all information you provide is accurate and complete.

2. Your Account

• You are responsible for safeguarding your credentials and for all activity under your account.
• You must notify us promptly at security@personyfi.com of any suspected unauthorized access.
• We may require multi-factor authentication and may suspend access if we detect suspicious activity.

3. The Service

PersonyFi helps you organize, analyze, and act on your personal financial information. This includes parsing documents you upload, connecting third-party financial accounts via Plaid, and generating insights including via AI/LLM-based processing.

We may add, modify, suspend, or discontinue features at any time. Where changes materially reduce functionality of a paid plan, we will provide reasonable notice.

4. Not Financial, Tax, or Legal Advice

The Service provides information, calculations, scenarios, and AI-generated outputs for informational purposes only. It is not personalized financial, investment, tax, accounting, or legal advice and must not be relied on as such. Outputs may be incomplete, outdated, or incorrect. You are solely responsible for the financial, tax, investment, or other decisions you make. Consult a qualified professional before acting on any output of the Service.

5. Third-Party Services

The Service integrates with third parties including Plaid, Stripe, Firebase, Supabase, and Groq. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for third-party services or their availability.

6. Subscriptions, Fees, and Payments

• Paid plans are billed in advance on a recurring basis at the price disclosed at purchase.
• All fees are exclusive of applicable taxes (HST/GST/QST/PST), which we will collect where required.
• Subscriptions renew automatically until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing cycle.
• Except where required by law, fees are non-refundable.
• Failure to pay may result in suspension or termination of your account.

7. Acceptable Use

You agree not to:

• Use the Service in violation of any law or third-party right;
• Upload content you do not have the right to upload;
• Reverse-engineer, decompile, or attempt to derive source code, except to the extent permitted by law;
• Probe, scan, or test the Service for vulnerabilities except under a coordinated disclosure programme;
• Interfere with or disrupt the Service or its underlying infrastructure;
• Use the Service to build a competing product or to scrape, crawl, or copy data en masse;
• Use automated systems to access the Service in a way that exceeds reasonable use.

8. Your Content

You retain ownership of all content you upload ("Your Content"). You grant PersonyFi a limited, worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Your Content solely as necessary to operate and improve the Service for your benefit. We do not use Your Content to train third-party foundation models.

You represent that you have the right to upload Your Content and that doing so does not violate any law or third-party right.

9. Intellectual Property

The Service, including its software, design, and brand, is owned by PersonyFi and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal or internal business use, subject to these Terms.

10. Beta Features

Features designated as "beta," "preview," or "experimental" are provided as is, may change or be removed without notice, and may not be subject to the same service levels as generally available features.

11. Termination

You may terminate your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if continued provision of the Service becomes commercially unreasonable. On termination, your right to access the Service ends and we will handle your data as described in our Privacy Policy.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

13. Limitation of Liability

To the maximum extent permitted by law, PersonyFi and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for all claims relating to the Service in any 12-month period is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) CAD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold PersonyFi harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) Your Content, or (c) your breach of these Terms or applicable law.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute not subject to mandatory arbitration or consumer-protection legislation.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email and via an in-product notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
